Terms & Conditions: Ryderwear Loyalty Program
1. Definitions
In these Terms, unless the contrary intention appears:
“Benefits” means any benefits given to Members, including Discounts and Vouchers;
“Discount” means any percentage or other promotional discount offered to a Member;
“Member” means an individual who is a member of the Ryderwear Loyalty Program and “Membership” has a corresponding meaning;
“Member Profile” means the account held by the Member on the Website, which includes the personal details of the Member;
“Ryderwear” means Ryderwear (AUST) Pty Limited ACN 609 225 970 of 10-14 Alfred Avenue, Beverley, South Australia 5009 and its related bodies corporate and associates (as defined in the Corporations Act 2001 (Cth));
“Ryderwear Loyalty Program” means the Ryderwear loyalty program providing Members with access to Benefits;
“Technical Issues” means a malfunction of any telephone network, connection or lines, computer online systems, servers or providers, computer equipment, software, technical problems or traffic congestion on the internet or at any web site or intranet site;
“Terms” means these terms and conditions;
“Voucher” means a voucher for a monetary amount given to a Member;
“Website” means the website operated by Ryderwear at www.ryderwear.com and includes, without limitation, any subdomains and services associated with such website; and references to $ or dollars means Australian dollars or American dollars as the case may be, depending on the currency used by the Member for any relevant transaction, and references to £ or pounds means British pounds.
2. Loyalty Program
2.1 These Terms set out the operation of the Ryderwear Loyalty Program and any promotional activity or transactions that arise as a result of the Ryderwear Loyalty Program or its use by Members.
2.2 By joining the Ryderwear Loyalty Program, or by receiving or using Benefits, Members agree to be legally bound by these Terms.
2.3 By joining the Ryderwear Loyalty Program, Members represent and warrant that they are at least 18 years old or, if they are under 18 years old, that they have the permission of a parent or guardian. Parents and guardians of Members under the age of 18 must read and agree to be bound by these Terms.
2.4 These Terms may be modified at any time at the sole discretion of Ryderwear. Ryderwear will provide advance notice of these modifications to Members, and allow time for Members to review the modified Terms, before they become active.
2.5 Ryderwear reserves the right to cancel, terminate, modify or suspend the Ryderwear Loyalty Program, Benefits or Membership, for reasons including if the Ryderwear Loyalty Program is being misused by a Member, and if any damage or loss is caused or may be caused to Ryderwear, or to any person. Where possible, Ryderwear will provide prior notice to affected Members.
2.6 If a Membership is suspended, cancelled or terminated by Ryderwear, any current or upcoming Benefits will be no longer be valid, and will be rendered null and void.
2.7 The Terms are to be read in conjunction with any additional conditions associated with Benefits.
2.8 Ryderwear’s decision regarding all matters arising in relation to the Ryderwear Loyalty Program, including in the event of any discrepancy between these Terms and any conditions of issue of Benefits, is final and binding.
3. Benefits
3.1 Members of the Ryderwear Loyalty Program will be entitled to receive Benefits when they use their Member Profile for transactions on the Website. Transactions completed by a Member other than by using their Member Profile will not qualify for Benefits.
3.2 Thresholds must be reached in one calendar month, on all valid purchases after all rewards, discounts, refunds and shipping costs, in order to qualify for a Benefit. Members can only reach one threshold each month.
3.3 Members will receive the following Benefits:
3.3.1 20 points for setting up a Member Profile;
3.3.2 30 points for completing their Member Profile, including by providing their gender and birthday details;
3.3.3 30 points for subscribing to Ryderwear’s newsletter;
3.3.4 1 point per $1.00 or 5 points per £3.00 (as the case may be) spent by the Member in any calendar month; and
3.3.5 the Benefits set out in the following table, upon the events set out in the table occurring:

3.4 Benefits will be granted to relevant Members in the form of a coupon code for use on the Website, and are equivalent to the amounts set out in the following table:

3.5 Benefits may be redeemed by the Member:
3.5.1 within 30 days of being granted such Benefits;
3.5.2 provided that the Member uses such Benefit to make a purchase in an amount of at least $100 or £60 (as the case may be); and
3.5.3 provided that the Member does not use any other offer or coupon code on the Website for the relevant transaction.
3.6 Ryderwear may grant Benefits to Members from time to time if relevant thresholds are reached in a given month, and at its sole discretion.
3.7 Ryderwear will notify the Member via email of their entitlement to any Benefits. Ryderwear are not liable if this email is lost or deleted.
3.8 Ryderwear reserves the right to vary or cancel upcoming and existing Benefits at any time.
4. Membership
4.1 Membership is open to individuals who are 18 years or older with a valid and unique email address. Only one Member Profile may be created per email address.
4.2 An individual is deemed to be a Member when they sign up, make an order on the Website, and/or use their Member Profile to make a transaction.
4.3 A Member may update their Member Profile at any time by visiting the Website. It is the Member’s responsibility to keep their Member Profile, including their email address, name, birthday, telephone number and postal address, updated.
4.4 Members may not transfer their account or Benefits to another person.
4.5 Ryderwear reserves the right to modify, refuse or terminate a Membership without notice or reason and at its absolute discretion.
4.6 At any time, Members can only have one Membership. If a Member has more than one Member Profile, benefits will be applied according to the Member Profile used for relevant transactions.
4.7 A Member may at any time terminate their membership by providing written notice to Ryderwear.
4.8 Ryderwear employees are not eligible for the Ryderwear Loyalty Program.
5. Use of Benefits
5.1 Vouchers must be redeemed by a Member in one transaction. Any amount of a Voucher not redeemed in one transaction will be lost and no credit will remain.
5.2 Order totals must be a minimum of $1.00 or £3.00 after all Benefits are applied.
5.3 Benefits do not represent legal tender in any country, and they are not redeemable for cash.
5.4 Benefits cannot be sold, transferred or assigned.
5.5 Benefits may not be applicable to certain items or promotions. If this is the case, then it will be noted on the Website.
5.6 Benefits cannot be redeemed on shipping costs.
5.7 Benefits cannot be used as part of a gift voucher purchase.
5.8 Unless stated otherwise, Benefits expire at midnight (ACST) on the day that is 30 days after they are issued.
5.9 Purchases made online will be updated on the Member Profile on the date of dispatch from Ryderwear’s warehouse.
6. Returns and exchanges
6.1 If a Member returns a purchased item to Ryderwear, the corresponding amount will be deducted from the Member’s accumulated spend balance for the relevant month.
6.2 If a Member returns an item purchased using a Benefit, then the refund will be made to the Member less the amount of any Benefit, and the relevant Benefit will continue to be available to the Member for use until its expiry.
6.3 If a Member exchanges an item purchased using a Benefit, that will not result in any adjustments to the Member’s Benefits.
7. Limitation of liability
Ryderwear is not liable for:
7.1 any email or other communication to any Member that is misdirected, lost or not received;
7.2 any Technical Issues that may cause damage to any computer related to or used in connection with the Ryderwear Loyalty Program;
7.3 if any Benefits are not able to be redeemed by a Member for any reason whatsoever, including if there is a Technical Issue; or
7.4 any tax liability that may be incurred by a Member in connection with the Ryderwear Loyalty Program, or in the provision of Benefits.
8. Collection of personal information
Ryderwear may collect personal information from Members for the purpose of facilitating the Ryderwear Loyalty Program, and as set out in the privacy policy (which may be accessed on the Website at www.ryderwear.com/pages/privacy-policy). Ryderwear will use, store and handle this information in accordance with the requirements of the Privacy Act 1988 (Cth) that apply to Ryderwear, and to the privacy policy. Ryderwear’s privacy policy applies to Members’ use of, and any transactions on, the Website, and any other dealings between Ryderwear and Members at all times.
9. Jurisdiction and enforceability
9.1 These Terms and any disputes or claims arising out of or in connection with them or their subject matter or formation shall be governed by the laws of South Australia and the Commonwealth of Australia. Members submit to the jurisdiction of the courts of South Australia in respect of any claim arising from, or related to, these Terms, although Ryderwear reserves the right to bring proceedings against any Member for breach of these Terms in that Member’s country of residence or any other relevant jurisdiction.
9.2 If any provision of these Terms is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision will, to the extent required, be severed from these Terms and rendered ineffective as far as possible without modifying the remaining provisions of these Terms, and will not in any way affect any other circumstances of or the validity or enforcement of these Terms.
